When beginning your own business you will need to decide if you want to register your name with the state or incorporate, request a Federal tax ID number, get a business license and open your business checking account.

Should I Incorporate?

There is several kinds of incorporation's - LLC, C-Corp, S-Corp.

LLC is a Limited Liability Company which gives you the tax flexibility of a partnership with the personal liability protection of a corporation. A LLC company owner reports his business' profit and loss on his own personal tax returns. The advantage of an LLC is separating yourself from your business legally and protecting your personal assets in the event of a judgment against the company. All states recognize this business type.

A S-Corp is a corporation which is taxed under the Subchapter S of Chapter 1 of the Internal Revenue Code. Your personal assets are protected under the corporation laws, but the profits and losses of the corporation are filed as income on your personal taxes. The profit or loss is shared by the shareholders.

A C-Corp is a corporation in which your company files it own taxes and gives you the personal asset protection. The shareholders still have to file the profits or losses on their tax returns as income or loss and pay taxes accordingly.

Most small businesses run comfortably under a LLC or a S-Corp. These accommodate the easier for most small businesses.

Once you have decided whether you want to incorporate, next you will have to apply for a Federal Tax ID Number (EIN). From there, a business license can be applied for. After the business license and the EIN has been obtained, a business account can be opened, and begin your new adventure of owning your own business.
